On the evening of Friday, August 28, 2026, the Securities and Exchange Board of India quietly did what the country's biggest conglomerate had been waiting five years for. SEBI issued its observation letter on Jio Platforms Limited's Draft Red Herring Prospectus, clearing the way for what will — by issue size alone — be the largest IPO in Indian stock-market history. Reliance Industries notified the exchanges the same day: “Jio Platforms Limited (JPL), subsidiary of the Company, has today, i.e., August 28, 2026, received the observation letter on the Draft Red Herring Prospectus (“DRHP”) filed for its proposed Initial Public Offer from the Securities and Exchange Board of India.” (TelecomTalk, Aug 29, 2026).
If priced at the rumoured band, Jio Platforms will raise up to ₹37,700 crore (≈ USD 3.8 billion) through a fresh issue of up to 27 crore equity shares at a face value of ₹10 each. That would overtake Hyundai Motor India's October 2024 issue of ₹27,870 crore and the LIC IPO (₹20,557 crore, May 2022) — and almost double the previous record-holder. There is no Offer for Sale (OFS) component. Every rupee raised is fresh capital flowing into the company.
But the size is only the surface story. Three things buried in the DRHP and confirmed in Friday's SEBI filing will reshape how Indians think about telecom, sovereign AI compute, and the next twelve months of capital markets. Here is the deep read.
The Numbers Behind the ₹37,700 Crore
| Item | Number | Source |
|---|---|---|
| IPO size (fresh issue) | Up to ₹37,700 crore (≈ USD 3.8 Bn) | Inc42 — Aug 28, 2026 |
| Equity shares (fresh) | Up to 27 crore (₹10 face value) | Inc42 |
| Offer for Sale component | None (no existing shareholders selling) | Inc42 |
| DRHP filing date | June 19, 2026 | Inc42 |
| SEBI observation letter | August 28, 2026 | Reliance Industries stock-exchange filing |
| DRHP listed by previous Indian IPO record | Hyundai Motor India ₹27,870 cr (Oct 2024) | Wikipedia: Hyundai Motor India |
| DRHP-listed Jio FY25 revenue | ₹1,28,218 crore (USD 13 Bn) | Wikipedia: Jio Platforms — FY25 financials |
| DRHP-listed Jio FY25 net income | ₹26,109 crore (USD 2.7 Bn) | Wikipedia |
| Reliance Jio Q1 FY27 profit | ₹7,764 cr (+9.2% YoY) | Inc42 |
| Reliance Jio Q1 FY27 operating revenue | ₹39,173 cr (+11.8% YoY) | Inc42 |
| Jio Platforms subscribers (Mar 2026) | 524.4 million | Inc42 |
| Expected listing window | Before end of FY27 (Mar 2027) | TelecomTalk |
At the upper band, Jio Platforms would be valued at roughly USD 100+ billion post-issue — Mukesh Ambani's first listed digital asset at scale. The 27-crore-share fresh issue implies a free float for new public investors of perhaps 4-5% at the rumoured price; Reliance Industries will retain majority control through its 66.43% holding.
Why This IPO Is Structured Differently From LIC and Hyundai
Three structural choices in the DRHP matter more than the headline number.
1. No Offer For Sale — All Capital Stays In The Business
The LIC IPO (May 2022) sold 6.5% of the government of India's stake. Hyundai Motor India (Oct 2024) included an OFS of up to ₹10,500 crore out of the total issue. Jio Platforms is doing the opposite. Every rupee of the ₹37,700 crore will land on the company's balance sheet. Existing investors — Meta (9.98%), Google (7.73%), KKR, Silver Lake, Vista Equity Partners, General Atlantic, Mubadala, and Saudi Arabia's Public Investment Fund — are not selling a single share at listing. The intent is unmistakable: the IPO is a growth-capital event, not a liquidity event for the 2020 vintage of Facebook-Jio deals that put ₹1,52,056 crore (USD 20.5 Bn) into the platform (Wikipedia: Jio Platforms history).
2. Use Of Proceeds Is Targeted, Not Generic
Per the DRHP, net proceeds will repay or prepay certain borrowings of Reliance Jio Infocomm (the material subsidiary that actually runs the network), with the remainder allocated to general corporate purposes — strategic initiatives, organic and inorganic growth, deferred liabilities, marketing, and capex (Inc42). This is the cleanest signal yet that Jio Platforms is going public to deleverage, not to splash on new bets — even as Mukesh Ambani's 2025 AGM language framed it as an "emotional moment."
3. The Anchor Investor Story Has Already Been Written
Of the 33-odd pre-IPO investors who put USD 20+ billion into Jio Platforms between April 2020 and mid-2021, every one of them is staying on the cap table. That means day-one institutional investors are buying into a company whose pre-IPO shareholders include some of the most disciplined foreign capital in the world — KKR and Silver Lake are not known for leaving money on the table. Their implicit valuation signal is at least as important as the IPO floor.
Jio Is Already The Country's Largest Telco By Almost Every Metric
The IPO will land in a fundamentally healthier telecom sector than the one Reliance entered a decade ago. The July 2026 TRAI subscription data, released on August 28, 2026 (the same day as the SEBI nod), confirms the new shape of the market:
| Operator | Wireless Subs (Jul 2026) | Market Share | Net Adds (Jul 2026) | Peak VLR % |
|---|---|---|---|---|
| Reliance Jio | 506.03 Mn | 39.29% | +2.45 Mn | 98.82% |
| Bharti Airtel | 489.49 Mn | 38.01% | +2.69 Mn | 99.12% |
| Vodafone Idea (Vi) | 199.06 Mn | 15.46% | +0.24 Mn | 83.97% |
| BSNL | 93.18 Mn | 7.23% | +0.17 Mn | 55.02% |
| MTNL | 0.16 Mn | 0.01% | −5,744 | — |
| Total wireless (incl FWA) | 1,306.27 Mn | 100% | +6.02 Mn | 93.48% |

Three readings matter:
- Jio has crossed 500 million wireless subscribers and still grew by 2.45 million in a single month. That is the kind of growth telcos in saturated Western markets would kill for.
- Jio's wireless broadband subscriber base is 520.44 million — the highest of any Indian operator and the largest mobile-data subscriber base in the world, exceeding China's three state-owned carriers individually.
- Jio's 5G FWA base is 9.27 million of the total 13.21 million 5G FWA subscribers in India (70.2% share). Airtel has just 3.94 million. Jio is the only operator with meaningful UBR FWA subscribers (5.14 million, +4.14% MoM).
- ARPU is ₹215.6 as of Q1 FY27 — up marginally YoY but still well below the ₹300+ that India's three private operators need to justify 5G capex per industry analyst consensus.
That last point is the most important one for IPO pricing. If retail investors are betting on the Jio story, they are betting on a tariff hike cycle in H2 FY27 that finally pushes ARPU toward ₹230-₹250. Reliance Jio has all but confirmed it. Vodafone Idea Chairman Kumar Mangalam Birla publicly framed FY27 as Vi's "year of execution" at the company's 31st AGM, with tariff rationalisation, 5G rollout, and network expansion as the three priorities (TelecomTalk, Aug 29, 2026). Both top-three telcos are now aligned on the same playbook: raise tariffs, build out 5G monetisation, restore return on capital. The IPO is the moment that aligns all three operators' incentives around ARPU recovery.
The Sovereign AI Subplot Buried In The Use Of Proceeds
The DRHP says proceeds will also fund general corporate purposes including strategic initiatives, organic and inorganic growth, marketing, and capex. Read that alongside the ₹10 lakh crore (~USD 110 billion) Reliance has committed to AI infrastructure over seven years for Jio Brain and a sovereign AI stack (Moneycontrol, Jul 2026), and the IPO becomes a partial sovereign-AI financing vehicle. Public-market investors are not just buying telecom cash flow — they are funding the data centres, GPU clusters, and Marathi/Indic LLM work that Ambani has been talking about since the 2024 AGM.
This connects the Jio IPO directly to yesterday's India Data Centre Boom story (₹300 Bn pipeline, 101 Mn sq ft by 2030): Jio Platforms is the biggest single bidder for that capacity. The IPO funds, in effect, the demand side of India's sovereign-AI infrastructure build-out.
What's Still Unclear (And Will Move The Stock On Day One)
Four things the DRHP does not yet specify — and that will drive the first-day pop or slump:
- Price band. No anchor has been disclosed. The grey-market premium chatter so far is anecdotal; institutional book-building will set the real test.
- Retail quota and minimum lot size. SEBI's framework allows up to 35% retail allocation; Jio Platforms is likely to skew toward QIBs given the size and the strategic-investor cap table.
- Listing day float. With ~33% pre-IPO institutional cap and Reliance's 66.43%, the effective free float on listing day is likely under 4%. That makes the stock structurally scarce — supportive of a premium listing, dangerous for liquidity if retail piles in.
- Lock-up expiry dates. Existing investors (Meta, Google, KKR etc.) will have statutory 6-month lock-ups from listing; the question is whether Ambani offers voluntary extensions as a confidence signal.
What You Should Actually Do (Reader Action Plan)
If you are a retail investor, an existing Reliance shareholder, a Jio subscriber, or a tech employee, here is the actionable shortlist.
- Existing Reliance Industries shareholders: Watch for a bonus issue or special dividend announcement at the Jio Platforms IPO listing. In past Indian mega-IPOs (HDFC AMC, IRCTC, LIC), the parent group has used the listing as an occasion to reward parent-company shareholders. Do not sell RIL purely on the basis of the Jio listing.
- Retail investors planning to bid: Open your ASBA account at a bank linked to NSE/BSE by end of September. IPO allotment for ₹37,700 cr issue typically closes within 4-5 days of opening; you need ~₹10,000-₹15,000 blocked in your demat for one lot.
- Subscribers of Jio/Airtel/Vi: Do not switch operators just because of an IPO. The fundamentals behind Jio's growth — network quality, FWA leadership, the JioBlackRock financial-services JV — are not day-tradeable. Re-evaluate at the next tariff hike, which is widely tipped for Q4 2026.
- Telecom engineers and IT employees in Mumbai, Hyderabad, Bengaluru: Jio's IPO capital will partly fund in-house AI/ML hiring at the platform level. Watch for Jio Brain and Reliance Intelligence job postings on LinkedIn over the next 60 days. MLOps, distributed training, and Indic-NLP roles are the most likely growth areas.
- Small business owners using Jio services: Expect Jio-branded SME bundles (JioFiber + JioBusiness + JioMart credit) to bundle more aggressively post-IPO. The IPO creates a structural pressure to lift ARPU from non-telecom products (payments, advertising, cloud, SaaS). Wait 4-6 months after listing; aggressive promo cycles usually start 90-120 days post-IPO.
- Foreign portfolio investors (FPIs): The Jio IPO will likely be the largest single India allocation event of FY27. If your fund has a structural underweight on India large-caps, this is the moment to rebuild — but after the first quarterly results post-listing, not on listing day.
- Bharat-tech media readers: Treat the Jio IPO as the litmus test for India's broader ₹30,000+ crore IPO pipeline in FY27. ESDS Software (Aug 27, fully subscribed Day 1, ₹410 cr), Purple Style Labs, and several others will read through from Jio's listing performance.
- CA / wealth advisors: Update client portfolios to separate the Jio story from the Reliance Industries story. The two will trade on different fundamentals — RIL is refining-retail-oil-cash flow, Jio Platforms is digital-telecom-AI optionality. Don't let clients confuse the two.
Risks The Listing Won't Solve
- Customer concentration by geography. Maharashtra, Uttar Pradesh, and West Bengal together account for ~30% of Jio's subs. A regional regulatory or competitive shock in any one state compresses ARPU fast.
- ARPU recovery is not guaranteed. Indian telecom has promised tariff hikes every fiscal since FY22 and delivered a fraction of them. If the FY27 hike is <8%, Jio's IPO narrative cracks.
- The sovereign-AI thesis depends on GPU supply. Jio's plans assume Nvidia/AMD keep shipping advanced accelerators. Any export-control escalation (cf. H20 chip curbs in early 2026) changes the capex math.
- Meta and Google dilution. Both pre-IPO investors hold board seats and significant minority stakes. If either signals a partial exit during the lock-up window, the stock sees technical pressure at month 6-7 post-listing.
