TL;DR

  • Purple Style Labs — the parent of celebrity stylist Pernia Qureshi's luxury fashion platform Pernia's Pop-Up Shop (PPUS) — opens its ₹680 crore mainboard IPO for subscription today, August 31, 2026.
  • Price band: ₹546–₹575 per share; lot size: 26 shares (₹14,950 minimum retail application); face value: ₹10.
  • Valuation: ~₹4,600 crore at the upper band. No OFS — entire issue is fresh equity. Anchor book raised ~₹306 crore on Aug 28.
  • Reservation: QIB 75% / NII 15% / Retail 10%. Closes: Sep 2, 2026. Listing: Sep 7, 2026 (BSE, NSE).
  • Key concern: Revenue grew just 11% in FY26 to ₹567 Cr while losses exploded to ₹285.4 Cr (PAT margin -51%). ₹363.3 Cr of proceeds go toward lease liabilities of Experience Centers — i.e. mostly paying rent.
  • GMP: ₹+34 (~5.9% premium over upper band) as of Aug 31 morning — lukewarm signal. Lead managers: Axial Capital + IIFL Capital Services. Registrar: Kfin Technologies.

This is the most "aspirational" D2C IPO of 2026. Here's what's actually in the fine print.

Background: Pernia's Pop-Up Shop and the ₹680 Cr Bet

Purple Style Labs was founded in 2015 by Abhishek Agarwal, with celebrity fashion stylist Pernia Qureshi (of Moin Qureshi / Bollywood stylist fame) as the public face. The flagship product is Pernia's Pop-Up Shop (PPUS) — a multi-brand luxury fashion marketplace that sells women's wear, men's wear, jewellery, accessories, and kids' wear.

The pitch is premium-Indian-fashion aggregated online:

  • 2.11 lakh+ products listed across 1,312 active designer brands
  • Designers on the platform include Seema Gujral, Anushree Reddy, Amit Aggarwal, and Rohit Gandhi + Rahul Khanna
  • 18.57 million unique visitors in FY25 (a 2.4x jump from FY23 traffic)
  • 70,651 paying customers in FY25; 104,856 orders shipped across 100 countries
  • Over 200,000 unique customers served between FY23 and FY25 across 140 countries

The company has raised close to $78 million to date across multiple rounds — most recently a $40 million Series E in March 2025. But unlike most late-stage D2C companies, PSL has no marquee institutional anchor pre-IPO: the biggest institutional holder is Enam Holdings at 2.9%. Agarwal himself held 27.10% before the IPO. He also sold ₹45 Cr of shares to three investors in August 2025 — a month before filing the DRHP.

That last detail matters: it's a soft signal of insider monetisation ahead of a public listing.

The IPO Numbers

The issue is straightforward — entirely fresh equity, no offer-for-sale.

Reservation split: QIB (ex-anchor) 75%, NII 15%, Retail 10%. The retail quota is unusually small — only 10% means a single retail bid of ₹14,950 competes for a thin slice of the book. If the issue is oversubscribed 10x in retail (typical for any high-profile D2C name), the effective allotment ratio drops to roughly 1 share per retail applicant.

Grey Market Premium (GMP): ₹+34 per share as of Aug 31 morning, 2026 (per IPOWatch). On the upper band of ₹575, that's a 5.9% expected listing gain. Compare that to:

  • Bharti Hexacom (Apr 2024): listed at +28% premium
  • Hyundai Motor India (Oct 2024): listed at +6%
  • Jio Platforms (filed Aug 2026, not yet listed): expected 8-12%
  • Recent luxury/D2C peers: 0-15%

PSL is pricing into a choppy secondary market for new-age tech stocks. Inc42's tracker noted Ather rallied 10% but Shiprocket fell 9% in the week before the issue — the new-age tech basket is bifurcating into "profitable soon" and "still bleeding".

Use of Proceeds — And Why the Breakdown Matters

This is the most important table in the RHP. Read it carefully.

PurposeAmount (₹ Cr)% of Issue
Lease liabilities of Experience Centers and back-end offices (via subsidiary PSL Retail)₹363.2953.4%
Sales & marketing expenses₹128.0018.8%
General corporate purposes(balance)~27.8%
More than half the IPO money — ₹363.29 crore — goes toward paying rent.

The company runs a network of physical Experience Centers (offline showrooms in luxury malls and high-street locations). These carry long-term lease obligations accumulated over 2017–2025. The IPO is, in large part, a lease refinancing vehicle.

This isn't unusual for omnichannel retail — Trent (Westside, Zudio) does the same — but it does mean the equity raise is not funding growth, expansion, or new revenue lines. It's funding existing liabilities. The ₹128 Cr earmarked for sales & marketing is the only "growth" bucket, and at 18.8% of the raise, it's modest.

The remaining ~₹189 Cr (≈28%) flows to general corporate purposes — unspecified, which by SEBI convention means working capital, debt repayment, and acquisitions.

Financials — A Three-Year Story of Worsening Losses

PeriodRevenue (₹ Cr)Expense (₹ Cr)PAT (₹ Cr)Total Assets (₹ Cr)
FY24510.03557.74(47.71)458.39
FY25494.00559.78(188.55)497.05
FY26567.07734.54(285.40)829.60
What the numbers say:
  • Revenue grew just 11% YoY in FY26 (from ₹494 Cr to ₹567 Cr), a sharp deceleration from the FY24→FY25 trend.
  • Expenses grew 31% in FY26 — far faster than revenue. That's why losses nearly doubled in one year (from ₹189 Cr to ₹285 Cr).
  • The PAT margin has gone from -9.4% in FY24 to -50.3% in FY26 — a 5x worsening.
  • Total assets ballooned 67% in FY26 (497 Cr → ₹830 Cr), driven mostly by lease right-of-use assets and inventory build-up.

Key valuation metrics (FY26):

KPIValue
ROCE-23.56%
EBITDA margin5.44%
PAT margin-51.16%
EPS (Basic)₹(41.98)
P/E ratioN/A (loss-making)
Net Asset Value (NAV)₹(7.69) per share
Debt-to-equityNegative (net cash + lease liabilities)
The P/E ratio is undefined because the company is loss-making. The NAV is negative at ₹(7.69) — meaning on a per-share basis, accounting liabilities exceed book-value assets. That alone should make value investors pause.

There are no listed peer companies for direct comparison. This is an "orphan" valuation — the bankers are asking you to value PSL on revenue multiples (~8x FY26 sales at upper band) versus unlisted private comparables. That's a wide range.

The Promoter Question

Abhishek Agarwal holds 28.26% pre-issue. Post-issue, his stake will dilute to roughly ~22% (the IPO is fresh equity only, so existing holders aren't selling — but they're being diluted).

More importantly:

  • Agarwal personally sold ₹45 Cr worth of shares to three investors in August 2025 — one month before the DRHP filing in September 2025. SEBI scrutinises pre-IPO insider sales; this kind of secondary sale so close to filing is a yellow flag.
  • Enam Holdings (the largest institutional holder at 2.9% pre-issue) is not selling in the IPO either.
  • The August 2025 secondary sale valued PSL at roughly ₹1,400–₹1,600 Cr pre-money. The current IPO is valuing it at ~₹4,600 Cr at the upper band — a ~3x markup in 12 months. That's normal for late-stage unicorns, but it's also how much "air" is in the IPO price.

Risks — Five Things That Can Go Wrong

  • Lease refinancing doesn't fix the model. If the new Experience Centers don't drive 4x GMV, the lease liabilities will simply reflate. The IPO plugs a balance-sheet hole; it doesn't fix unit economics.
  • Concentrated luxury customer base. Top 100 brands contribute ~50%+ of GMV (rough estimate from the platform concentration). Losing even one anchor designer could collapse a chunk of revenue.
  • Logistics for global shipping. PPUS ships to 100 countries. Customs, returns, and FX exposure add operational risk that's not captured in the headline revenue numbers.
  • Capital structure risk. Lease liabilities are now ~₹363 Cr (per use-of-proceeds). Even after refinancing, the company will carry material lease debt. The NAV is already negative.
  • No listed peer benchmark. The bankers can't point to "Trent trades at X, so PSL should trade at Y." That absence makes post-listing price discovery volatile. The Sep 7 listing day could see ±15% swings.

What the Anchor Investors Bought

The ~₹306 Cr anchor book (closed Aug 28, 2026) was the last public signal of institutional appetite before the retail offer. PSL anchor investors included a mix of:

  • Domestic mutual funds (typically 5-8 names per issue)
  • Insurance company treasury desks
  • A few foreign portfolio investors (FPIs)
  • Some family offices and HNI desks

The anchor allocation was reported at roughly 45% of the issue size (~₹306 Cr of ₹680 Cr), which is on the higher end — anchor-heavy books usually mean the company wanted to lock in institutional support ahead of a potentially soft retail book.

The exact anchor list will be disclosed by the company on Sep 1, 2026 (typically the day after anchor bidding closes, per SEBI disclosure norms). Check the BSE/NSE anchor investor PDF on Sep 1 for the full roster.

Should You Apply? A Decision Framework

Apply if:

  • You want a small allocation of a luxury-fashion D2C name on listing day for portfolio diversification
  • You believe Pernia Qureshi's brand will expand PPUS into adjacent categories (beauty, home, kids) within 12 months
  • You have a 12-18 month horizon and can tolerate post-listing volatility
  • You're comfortable with negative P/E and negative book value — your thesis is on platform GMV growth, not earnings

Avoid if:

  • You're a value investor — the NAV is negative and the company has no near-term path to profitability
  • You want steady listing-day gains — GMP of ₹34 (~6%) is below the 10-15% you'd typically expect from a well-marketed D2C IPO
  • You're worried about luxury demand cycle softening in India — global luxury houses (LVMH, Kering, Hermes) have reported slowing demand in 2025-26
  • You're tracking insider monetisation — Agarwal's ₹45 Cr secondary sale a year ago is a soft caution

Retail allocation strategy:

  • Single lot (₹14,950) — fine for "just to have a piece of paper" risk-budget allocation
  • 5 lots (₹74,750) — meaningful skin-in-the-game
  • 13 lots max (₹1,94,350) — only if you're bullish on luxury-D2C India as a 3-year theme

What's Next — Three Dates to Watch

DateEvent
Sep 1, 2026Anchor investor full list disclosed (BSE/NSE filings)
Sep 2, 2026IPO closes at 5 PM IST
Sep 3, 2026Allotment finalised (check Kfin Technologies portal)
Sep 4, 2026Refunds + demat credit
Sep 7, 2026Listing day — BSE + NSE
The Sep 7 listing will be the real verdict. If PSL lists at 8%+ premium, the IPO is considered successful. If it lists flat or at a discount, the new-age tech stock correction that began in Aug 2026 has a new poster child.
